FINANCIAL REPORTING VALUATION

ASC 350 | Goodwill Impairment

What is Goodwill Impairment?

Goodwill is generally recognized when a company acquires a business and the purchase price exceeds the fair value of the identifiable net assets acquired, after considering other applicable components of the acquisition accounting. For financial reporting purposes, goodwill is subsequently evaluated for impairment under ASC 350.

Goodwill impairment occurs when the carrying amount of a reporting unit exceeds its fair value, subject to applicable accounting requirements. When impairment is identified, a valuation analysis may be necessary to determine and support the amount of impairment recognized for financial reporting purposes.

Identify the Reporting Unit

Identify the Reporting Unit

Goodwill is assigned to reporting units and evaluated for impairment at the reporting-unit level, in accordance with ASC 350.

Determine Fair Value

Identify the Reporting Unit

Identify the Reporting Unit

The fair value of each reporting unit is determined using appropriate valuation methods and compared with its carrying amount.

Measure Impairment

Measure Impairment

If a reporting unit's carrying amount exceeds its fair value, an impairment loss may be recognized, subject to ASC 350 requirements.

Key ASC 350 Considerations

Annual & Interim Testing

Goodwill is generally tested for impairment at least annually and may require additional testing between annual assessments when events or changes in circumstances indicate potential impairment.

Fair Value Measurement

Fair value measurements used in goodwill impairment testing are developed in accordance with applicable accounting guidance, including ASC 820, using appropriate valuation methods and market participant assumptions.

Impairment Is Not Reversed

Under U.S. GAAP, a recognized goodwill impairment loss cannot be reversed in subsequent periods, even if the fair value of the reporting unit later increases.

ASC 350 | INTANGIBLE ASSETS

Indefinite-Lived Intangible Assets

Certain intangible assets have indefinite useful lives and are therefore not amortized but are subject to impairment testing under ASC 350.

These assets may include trademarks, trade names, certain licenses, and other indefinite-lived intangible assets. Valuation analysis may be required to determine whether an asset's carrying amount exceeds its fair value.

ASC 350 | Private Company Accounting Alternative

Goodwill Accounting for Private Companies

Under the private company accounting alternative provided by the Financial Accounting Standards Board (FASB), eligible private companies may elect to amortize goodwill over a period of ten years, or a shorter period if another useful life is more appropriate.

Companies electing this alternative generally test goodwill for impairment when a triggering event indicates that its fair value may be below its carrying amount, rather than performing an annual impairment test.

Key Considerations

The private company alternative simplifies goodwill accounting by allowing amortization and impairment testing when triggering events occur.

Eligibility and application of the alternative are subject to applicable U.S. GAAP requirements.
